1. Acceptance of Terms

By accessing or using Zuqus AI ("Service") at https://ai.zuqus.com, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service. These terms apply to all users, including merchants who install the Shopify app.

2. Description of Service

Zuqus AI is an AI-powered Shopify operations platform that allows merchants to manage their Shopify stores through a conversational AI interface. The Service connects to your Shopify store via OAuth and executes actions on your behalf using the Shopify Admin API.

3. Eligibility

You must be at least 18 years old and have a valid Shopify store to use this Service. By using the Service, you represent that you have the legal authority to bind any business entity on whose behalf you use it.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and API tokens.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account at [email protected].
  • You must not share your account or API tokens with unauthorized third parties.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or Shopify's Terms of Service.
  • Perform bulk destructive operations (mass deletions, mass cancellations) without appropriate review.
  • Attempt to reverse-engineer, scrape, or extract data from our systems beyond normal use.
  • Resell or sublicense access to the Service without written permission.
  • Use the Service to process or store data in violation of applicable privacy laws.
  • Circumvent rate limits, quotas, or security controls.

6. AI-Generated Actions

The Service uses artificial intelligence to interpret your instructions and execute actions on your Shopify store. While we implement safety controls including human approval gates for write and destructive operations, you acknowledge that:

  • AI responses may occasionally be inaccurate or incomplete.
  • You are solely responsible for reviewing and approving any actions before they are executed.
  • We are not liable for unintended changes resulting from approved AI actions.
  • You should maintain regular backups of your store data.

7. Subscription and Billing

  • Subscriptions are billed monthly in Indian Rupees (INR) via Razorpay.
  • Subscription fees are non-refundable except where required by applicable law.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or downgrade of your account.
  • Monthly tool call quotas reset at the start of each billing cycle and do not carry over.

8. Intellectual Property

The Service, including all software, UI, AI models, and documentation, is owned by Zuqus Technology and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period. You retain ownership of all data in your Shopify store.

9. Limitation of Liability

To the maximum extent permitted by law, Zuqus Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated results will be accurate or complete.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time by uninstalling the Shopify app and contacting us at [email protected]. Upon termination, your data will be retained for 48 days before permanent deletion.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
